Terms and Conditions

These Terms and Conditions (the 'Terms') govern your use of the ChatKindle service at chatkindle.com, owned and operated by Uber Media Labs ('ChatKindle', 'we', 'us', 'our'). The Service is a software-as-a-service (SaaS) platform that enables you to build, train, customize, and deploy AI-powered chatbots on your own website.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. The Service

ChatKindle is a web-based platform that allows you to create and manage AI chatbots trained on your own business content. The Service includes knowledge ingestion from websites, PDFs, and manual entries; an embeddable chat widget; analytics; bookings and lead capture; and subscription billing. We may add, change, or remove features, and will give reasonable notice for any change that materially reduces a paid feature you depend on.

2. Accounts

To use the Service you must create an account and be at least 18 years old (or the age of majority in your jurisdiction). On paid plans, each login must correspond to one human; sharing credentials between multiple people is not permitted.

  • You are responsible for keeping your credentials secure and for all activity under your account.
  • Notify us immediately of any unauthorized access to your account.
  • If you sign up on behalf of a business, you represent that you have the authority to bind it to these Terms.

3. Plans, billing, and renewals

ChatKindle offers a Free plan and paid plans (Starter, Pro, Business, and custom Enterprise plans). Current pricing and plan limits are shown on the pricing section of chatkindle.com and in your billing dashboard. Paid plans are billed monthly or annually in advance — INR via Razorpay, USD and other currencies via PayPal — and renew automatically on the billing date until you cancel.

  • You can cancel anytime from the billing page. Cancellation takes effect at the end of the current billing period, after which your account moves to the Free plan.
  • Refunds: you may request a refund from the billing page within 7 days of a charge. Requests are reviewed by our team; approved refunds are returned to your original payment method, typically within 5 to 7 business days. A full refund moves the account to the Free plan. Renewal charges after your first payment are not automatically refundable.
  • Upgrades take effect immediately (the payment provider prorates the difference); downgrades take effect at the end of the current billing period.
  • Exceeding your plan’s conversation credits pauses new bot conversations until the next period or an upgrade.
  • Taxes are your responsibility unless we are required to collect them in your jurisdiction.
  • We may change prices with at least 30 days’ notice; existing paid subscribers keep their current rate until their next renewal.

4. Free plan and trials

The Free plan is subject to the following limits: 50 conversations per month, 1 bot, 1 website source, 1 PDF, a 200 KB knowledge base, and 20 Playground messages per month. The Free plan may be modified, restricted, or discontinued; we will give notice of material changes. Trials, if offered, convert to a paid plan only with your explicit confirmation.

5. Your content

You retain ownership of the content you upload (URLs, PDFs, FAQs, prompts, branding assets) and the chat transcripts your bot generates on your behalf. You grant Uber Media Labs a limited, worldwide, royalty-free licence to host, process, transmit, and display that content solely to operate the Service for you.

  • You are responsible for having the right to upload everything you upload, including third-party material.
  • Do not upload confidential information you are not authorised to share.
  • You can delete your content anytime from the dashboard. On account termination, data is retained for 30 days for recovery, then permanently deleted (except where statutory retention applies — see the Privacy Policy).

6. Acceptable use

You agree not to use the Service to:

  • Send spam, phishing, scams, or unsolicited bulk messaging.
  • Impersonate a real person or organization without consent.
  • Generate or distribute content that is illegal, defamatory, hateful, or sexually exploitative of minors.
  • Jailbreak, reverse-engineer, or otherwise circumvent the underlying AI models’ safety guardrails.
  • Scan, probe, stress-test, or penetration-test the Service without our written permission.
  • Make high-risk regulated decisions (medical diagnosis, legal advice, lending decisions) without independent professional oversight.
  • Resell or white-label the Service without a separate written agreement.

Suspected violations can result in temporary suspension while we investigate. Confirmed material violations can result in immediate termination without refund.

7. AI output and accuracy

ChatKindle is powered by large language models that can produce inaccurate, outdated, or unexpected output. You are responsible for reviewing your bot’s content and behaviour, especially before deploying it publicly. The Service is not a substitute for medical, legal, financial, or other professional advice, and we do not warrant that bot output will be accurate, error-free, or fit for any particular purpose.

8. Privacy

Our /privacy policy explains how we handle personal information, including under the EU/UK GDPR and India’s Digital Personal Data Protection Act, 2023 (DPDP). By using the Service you also acknowledge that policy. Privacy questions: privacy@chatkindle.com.

9. Third-party services

The Service integrates with third-party platforms — Google Calendar, WhatsApp, Razorpay, PayPal, and LLM providers via OpenRouter, among others. Your use of those platforms is governed by their own terms and policies. We are not responsible for their outages, changes, data practices, or decisions, and disruptions on their side may affect ChatKindle functionality.

10. Intellectual property

The Service — including its software, design, documentation, and trademarks — is owned by Uber Media Labs and our licensors. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service for your business; they transfer no ownership. You may not reverse-engineer, copy, or create derivative works of the Service without our written consent. We welcome feedback; you grant us a non-exclusive licence to use suggestions you send us without obligation.

11. Termination

You can stop using the Service at any time by cancelling from the billing page, deleting your account from the dashboard, or emailing support@chatkindle.com. We can suspend or terminate your account if you materially breach these Terms, fail to pay, or use the Service in a way that creates legal risk for us or other users. On termination, your data is retained for 30 days for recovery, then permanently deleted, except where statutory retention applies.

12. Disclaimer of warranties

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. To the maximum extent permitted by law, we disclaim all such warranties.

13. Limitation of liability

To the maximum extent permitted by law, Uber Media Labs’ total liability arising out of or related to these Terms or the Service is limited to the greater of (a) USD 100 or (b) the fees you paid us in the 12 months immediately before the event giving rise to the claim. We will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.

14. Indemnity

You agree to defend, indemnify, and hold harmless Uber Media Labs and its officers, employees, and agents from any claim, damages, or expense (including reasonable legal fees) arising from (i) your content, (ii) your use of the Service in violation of these Terms, or (iii) your infringement of any third-party right.

15. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service is subject to the exclusive jurisdiction of the courts of competent jurisdiction in Uttar Pradesh, India.

  • There is no arbitration clause — disputes go to the courts of Uttar Pradesh, India.
  • Either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.
  • Nothing in this section overrides non-waivable consumer rights you have under applicable law.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email or an in-product notice at least 14 days before they take effect. Continued use after the notice period means you accept the updated Terms.
